پیشگفتار

با توجه به گستردگی و پیچیده تر شدن معاملات واحدهای کسب و کار و تخصصی شدن مدیریت در دنیای کنونی، از میزان کنترل سهامداران به خصوص سهامداران جزء بر شرکت‌ها که از آن با عنوان حاکمیت شرکتی یاد می‌شود، کاسته شده است. این موضوع که به هدایت و کنترل صحیح شرکت‌ها منجر می‌شود، امروزه بسیار مورد تاکید قرار گرفته است. حاکمیت شرکتی فرایند سیستماتیک مستمر، تدریجی و عادی بهبود، هدایت و یادگیری شرکت است که به عملکرد پایدار شرکت و تعالی اخلاقی آن منجر می‌شود. دنیای سازمانی سال‌های اخير شاهد تبار فزاینده به حاکمیت شرکتی بوده و مسئولیت پذیری برای کسب و کارهای امروزی به روندی جهانی مبدل شده است. حاکمیت شرکتی از یک فرایند متعارف به عنوان یک ضرورت در مدیریت استراتژیک کسب و کار در قرن بیست و یکم تبدیل شده است.

حاکمیت شرکتی مجموعه ای از روابط بين مديريت شرکت، هيأت مديره آن، سهامداران و سایر ذینفعان است. حاکمیت شرکتی همچنین، ساختاری را فراهم می‌کند که از طریق آن اهداف شرکت تعیین شده و ابزار دستیابی به این اهداف و نظارت بر عملکرد تعیین می‌شود. حاکمیت شرکتی خود باید انگیزه‌های مالی را برای هیات مدیره و مدیریت در جهت پیگیری اهدافی که به نفع شرکت و سهامداران است را فراهم نماید و نظارت موثر را تسهیل کند و در نتیجه شرکت‌ها را به استفاده اثربخش‌تر از منابع تشویق کند. در واقع، حاکمیت شرکتی نظامی است که شرکت‌ها به وسیله آن تحت هدایت و کنترل قرار می‌گیرند. ساختار حاکمیت شرکتی به صورت شکل فوق است. هدف از تالیف کتاب حاضر رابطه بین درماندگی مالی و حاکمیت شرکتی در شرکت‌های پذیرفته شده در بورس اوراق بهادار تهران بوده است. درماندگی مالی بانك‌ها و شرکت‌های دولتی و خصوصی مسأله‌ای جدی برای حیات اقتصادی کشورها است. هزینه‌های فردی و اجتماعی درماندگی مالی، مساله پیش‌بینی درماندگی مالی را برای خیلی از مدیران، بانک‌ها، سرمایه گذاران، سیاست گذاران و حسابرسان به عنوان یك مساله مهم مطرح کرده است. پیش‌بینی درماندگی مالی برای سه گروه از اهمیت زیادی برخوردار است. این گروه‌ها شامل مدیران، اعتباردهندگان و حسابرسان است. ترکیب سهامداری یا ساختار مالکیت از موضوعات مهم حاکمیت شرکتی به شمار می‌رود که انگیزه مدیران را تحت تأثیر قرار می‌دهد و بدین ترتیب می‌تواند در کارآیی هر شرکتی تأثیر قابل توجهی داشته باشد.

هدف از تالیف کتاب حاضر بررسی رابطه بین تمرکز مالکیت، حاکمیت شرکتی و درماندگی مالی در شرکت‌های پذیرفته شده در بورس اوراق بهادار تهران می‌باشد. جامعه آماری این کتاب، شامل تمامی شرکت‌های پذیرفته شده در بورس اوراق بهادار تهران برای یك دوره زمانی هفت ساله، از ابتدای سال ۱۳۹۲ تا پایان سال ۱۳۹۸ می‌باشد. نتایج حاصل از کتاب نشان می‌دهد که بین متغیرهای تمرکز مالکیت، استقلال هیئت مدیره و اندازه هیئت مدیره با درماندگی مالی شرکت‌های پذیرفته شده در بورس اوراق بهادار تهران رابطه معنادار وجود دارد. نتایج همچنین بیان کننده این است که بین مالکیت مدیریتی و مالکیت نهادی با درماندگی مالی در شرکت‌های پذیرفته شده در بورس اوراق بهادار تهران رابطه معنادار وجود ندارد. شيوه سازماندهي کتاب حاضر به‌ صورت زیر می‌باشد:

Abstract

Due to the expansion and complexity of business unit transactions and the specialization of management in today’s world, the degree of control of shareholders, especially individual shareholders over companies, which is referred to as corporate governance, has been reduced. This issue, which leads to proper management and control of companies, is highly emphasized today. Corporate governance is a continuous, gradual and normal systematic process of improving, guiding and learning the company, which leads to the sustainable performance of the company and its ethical excellence. The organizational world in recent years has witnessed an increasing corporate governance line, and accountability for today’s businesses has become a global trend. Corporate governance has evolved from a conventional process to a necessity in strategic business management in the 21st century.
Corporate governance is a set of relationships between a company’s management, its board of directors, shareholders and other stakeholders. Corporate governance also provides the structure through which company goals are set and the means to achieve those goals and performance monitoring are determined. Corporate governance should provide financial incentives for the board of directors and management to pursue goals that benefit the company and its shareholders, and facilitate effective oversight, thereby encouraging companies to use resources more effectively. In fact, corporate governance is the military by which companies are controlled and controlled. The corporate governance structure is as follows. The purpose of writing this book is the relationship between financial helplessness and corporate governance in companies listed on the Tehran Stock Exchange. The financial helplessness of banks and public and private companies is a serious issue for the economic life of countries. The individual and social costs of financial distress have raised the issue of predicting financial distress for many managers, banks, investors, policymakers and auditors. Predicting financial distress is important for the three groups. These groups include managers, creditors and auditors. Shareholding structure or ownership structure is one of the important issues of corporate governance that affects the motivation of managers and thus can have a significant impact on the efficiency of any company.
The purpose of this book is to investigate the relationship between concentration of ownership, corporate governance and financial helplessness in companies listed on the Tehran Stock Exchange. The statistical population of this book includes all companies listed on the Tehran Stock Exchange for a period of seven years, from the beginning of 1392 to the end of 1398. The results of the book show that there is a significant relationship between the variables of ownership concentration, board independence and board size with the financial distress of companies listed on the Tehran Stock Exchange. The results also indicate that there is no significant relationship between managerial ownership and institutional ownership with financial distress in companies listed on the Tehran Stock Exchange.
